Terms of Service

1. Who we are - a software provider
Synallax is a product of Uara Desenvolvimento e Soluções Tecnológicas Ltda. ("Uara Tech"), a Brazilian limited company, CNPJ 67.797.098/0001-20, registered with the São Paulo Board of Trade (JUCESP) under NIRE 35250435658, with registered office at Alameda Rio Negro, 503, Sala 2020, Alphaville, Barueri, SP, 06454-000, Brazil - "Synallax", "we" and "us" in these terms. We are a software house. We provide the technology - at synallax.com, app.synallax.com and api.synallax.com - that lets businesses ("operators") create and run their own online marketplaces, and lets their customers ("participants") browse listings and place offers. We supply the software; the operator runs the marketplace. Synallax is not a party to, broker of, intermediary in, or guarantor of any transaction, listing, price or offer on any marketplace. 2. The operator runs the marketplace - and answers for it
Each marketplace is created, configured and operated by its operator, under the operator's sole responsibility. That responsibility expressly includes verifying and complying with every law applicable to the operator's activity - the laws of the place the operator operates from, the laws applying to its participants and buyers wherever they are, and any sector-specific rules (licences, consumer protection, pricing and advertising rules, tax collection and invoicing, export controls, and any authorisation required to sell what is listed). Synallax does not and cannot verify the legality of any operator's business and assumes no responsibility for it.
3. Offers conclude by acceptance - and bind only the parties
Offers placed on a marketplace rest until the operator (or rules the operator configures) accepts them, until they expire, or until they are cancelled. The platform never executes a transaction on its own initiative. Prices, descriptions, availability and offers displayed on any marketplace are the sole responsibility of whoever posted them. Synallax displays them as received and is not responsible for their accuracy, and no price or offer binds Synallax in any way: an accepted offer creates a commitment exclusively between the operator and the participant. Its fulfilment, delivery and any payment for the underlying goods or services occur between those parties, outside Synallax.
4. No custody of funds
Synallax does not process, hold, or transfer money between marketplace participants. The only payments we collect are our own subscription fees, processed by Stripe. We never see or store card numbers.
5. Accounts
One account per e-mail address; sign-in is by single-use e-mail codes or API keys. You are responsible for activity under your account and keys; revoke a key immediately if it may be compromised. Automated agents acting with your credentials act as you: accepting these terms through the API (the acceptTerms field of a checkout request) is your acceptance, exactly as ticking the box in the console.
6. Plans and billing
Paid plans are billed monthly in USD through Stripe and renew automatically until cancelled. Prices exclude any taxes that may apply. Plan limits (marketplaces, product types, parameters, open offers) are enforced by the platform and described at synallax.com/pricing. Changing plan takes effect immediately; Stripe shows any prorated amount before you confirm. Cancelling stops future charges at the end of the paid period; the account then returns to the Free plan. What you created stays online and editable; from then on the Free limits apply to what you create, and a marketplace holding more open offers than the Free plan allows accepts new offers again as existing ones conclude or expire. If a renewal payment fails and Stripe's retries fail too, the subscription is cancelled and the account returns to the Free plan. Fees already paid are non-refundable except where the law says otherwise.
7. Uploaded content - lawful, yours, your responsibility
Everything uploaded to or created on the platform (listings, parameters, texts, images by reference, branding, offers) belongs to whoever uploaded it, and uploading it is a declaration that it is lawful and that the uploader holds every right needed to publish it. Synallax does not review, endorse, or assume any responsibility for uploaded content.
Zero tolerance: content that is illegal anywhere it is displayed - including, without limitation, child sexual abuse material, content infringing intellectual-property rights, stolen or counterfeit goods, and content promoting illegal activity - leads to immediate removal and immediate suspension or termination of the account, without notice and without any refund. Where the law requires or permits, we preserve evidence, report to the competent authorities, and cooperate fully with investigation and prosecution. Suspension under this section is not a breach of these terms by Synallax and creates no liability on our side.
8. Acceptable use
Do not use Synallax for anything unlawful; to mislead participants (including fake listings or manufactured offers); to probe, overload or disrupt the service; or to infringe others' rights. We may suspend or terminate accounts that do.
9. Availability, incidents and data - commercial best effort
The service is provided "as is" and "as available", without any warranty of uninterrupted, error-free or loss-free operation. We apply commercially reasonable best efforts to keep the platform available, to resolve incidents, and to restore data after failures - including from the backups we maintain - but we do not guarantee availability, resolution times, or that any data can be recovered. Operators are responsible for keeping their own copies of the data that matters to them (export is available at all times through the API and CSV). Scheduled maintenance and evolution of the product may cause interruptions.
10. Limitation of liability
To the maximum extent permitted by law, Synallax's total aggregate liability for any and all claims related to the service is limited to the subscription fees you paid us in the twelve months preceding the event giving rise to the claim - and for Free-plan accounts, to zero. We are not liable for: transactions, prices, offers or content on any marketplace; the conduct of operators or participants; loss of data, profits, revenue, business, or goodwill; business interruption; or any indirect, incidental, special or consequential loss - even if advised of the possibility. Nothing in these terms excludes liability that applicable law does not allow to be excluded.
Indemnity. Operators indemnify Synallax against claims, losses and costs (including reasonable legal fees) arising from their marketplace: the goods or services listed, the content uploaded, the transactions concluded, or any breach of sections 2 or 7.
11. Content and intellectual property
You keep ownership of the content you upload. You grant us the licence needed to host and display it as the service requires. The platform, its software and its design remain ours.
12. Termination
You may close your account at any time by writing to contact@synallax.com from the account's e-mail address; we confirm the closure within a few business days. We may suspend or terminate for breach of these terms - immediately and without refund in the cases of section 7 - and with notice where practicable otherwise. On termination (except section-7 cases where the law requires retention as evidence) we make your data available for export for 30 days, then delete it as described in the Privacy Policy.
13. Changes to these terms
We may update these terms; material changes are announced by e-mail or in the console at least 15 days before they take effect. Continuing to use the service after that is acceptance.
14. Law and disputes
These terms are governed by the laws of the Federative Republic of Brazil. Disputes go to the courts of the district (comarca) of Barueri, State of São Paulo, without prejudice to mandatory consumer rights in your country of residence, including a consumer's right to sue where they live when the law grants it.
15. General
If any provision of these terms is held invalid, the rest stands. We are not liable for delays or failures caused by events beyond our reasonable control (network or provider outages, acts of authorities, force majeure). These terms, the Privacy Policy and the pricing page are the entire agreement between you and Synallax about the service. Notices to us go to contact@synallax.com; notices to you go to the e-mail address on your account.
